About Our Client

The client is a leading global investment management firm. As of December 2023, they had over 500 billion USD AUM.

Job Description
  1.  Review and negotiation of investment management agreements and related investment guidelines;
  2.  Drafting and/or review of marketing materials including the creation and/or updating of Information Memorandums / PDS'/ TMDs and other fund offering documents for funds;
  3.  Provide support and legal advice/counselling to all business units and internal clients on various matters;
  4.  Review and/or negotiation of all vendor and other agreements, including lease agreements, terms of business, that are required for the day-to-day operation of the business;
  5.  Conduct local board meetings serving as Company Secretary and preparation of board resolutions, minutes and other documents as may be required for sound corporate governance;
  6.  Work closely with Australian Compliance (based in Melbourne) to ensure a positive regulatory and compliance environment. Ongoing projects include AML, FATCA, CRS, industry consultations;
  7.  Provide advice to the firm's International Legal Group for doing business in or with Australia including the distribution of funds domiciled in Luxembourg;
  8.  Monitor and provide advice with respect to changes in relevant laws, regulations and standards as necessary;
  9.  Instructing and coordinating with external counsel; and
 10.  The performance of certain administrative tasks and use of proprietary software and databases to track client documentation, approve client accounts for management, etc., in connection with the foregoing.

The Successful Applicant

Candidates should be admitted to practice law in Australia and hold, or be eligible to hold, a practising certificate and have practiced in a law firm setting or asset management for a minimum of five years. The position requires strong analytical abilities as well as evolved organizational skills and a high level of detail orientation.
The position also involves extensive daily interaction with the firm's Australian staff including but not limited to very close partnership with Compliance/Risk, Institutional and Retail Client Group, Finance, Operations and local and global Investment colleagues so strong interpersonal skills and professional demeanor are prerequisites.

The ability to work independently and handle multiple priorities at once is a must. Maturity, pragmatism, good business sense, a strong work ethic and an ability to inspire confidence are keys to success in this position.
